Acceptance of Terms
By accessing or using Subgradient Labs's services, website, APIs, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Description of Services
Subgradient Labs provides artificial intelligence infrastructure, including but not limited to: AI model hosting and inference APIs, model fine-tuning and training services, agent development frameworks, and enterprise deployment solutions. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
Accounts and Registration
You must create an account to access certain features of the Services. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep your account information updated.
Acceptable Use
You agree not to use the Services to: violate any applicable law or regulation; generate content that is illegal, harmful, or infringes on others' rights; attempt to gain unauthorized access to the Services or related systems; interfere with the proper functioning of the Services; reverse engineer, decompile, or disassemble any aspect of the Services; use the Services to develop competing products without written consent; exceed rate limits or circumvent usage restrictions.
Intellectual Property
The Services, including all software, algorithms, models, documentation, and content, are owned by Subgradient Labs and protected by intellectual property laws. You retain ownership of any content you submit to the Services. You grant Subgradient Labs a limited license to use your content solely to provide the Services. Output generated by our AI models is owned by you, subject to these Terms and applicable law.
Payment Terms
Paid Services are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change our prices with 30 days' notice. Usage-based charges are billed in arrears based on actual consumption. Failure to pay may result in suspension or termination of your account.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBGRADIENT LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Termination
Either party may terminate these Terms at any time. You may terminate by closing your account. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days following termination.
Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
